Building Your Single Family Office Infrastructure

ABSTRACT: This paper examines structural and operational considerations in building infrastructure for single family offices (SFOs). It advises engaging securities counsel regarding SEC registration requirements for investment advisors to ensure the family office is structured appropriately. Options to avoid registration include utilizing the family office exemption, outsourcing investment functions, or creating a private trust company. Investments should be structured into separate entities to limit liability. Tracking partnerships allow customization of portfolios within a consistent governance structure. Carried interests can fund SFO expenses and incentivize staff. Insurance coordination is critical to risk management. While convenient, embedding an SFO within a family business can create divided focus and skill gaps. Separate entities are recommended for better privacy, focused skills, and family involvement. The paper provides an overview of legal, regulatory and operational factors SFOs should consider when developing infrastructure aligned to their mission.
